Today we are one of the largest law firms in the San Diego region with one of the top real estate practices in the southwestern United States. Purchase and sales
We represent owners, investors, brokers, lenders and developers in all aspects of the purchase and sale of real estate, including the structuring, financing, tax planning, negotiation, documentation and closing of transactions of all levels of complexity. Our attorneys have extensive experience in the purchase and sale of all types of commercial, industrial and residential projects, including multi-family residential projects.
Options and exchanges
We represent purchasers and sellers in the negotiating, drafting and closing of option and exchange agreements for all types of real estate projects.
We have a sophisticated commercial leasing practice, representing both landlords and tenants—including biotech, biomedical and high-tech companies—in the structuring, negotiation, and documentation of retail leases, office leases, industrial leases, ground leases, sale-leaseback arrangements, build-to-suit leases and subleases and assignments of leasehold interests.
Development and Management or Development and Redevelopment
We represent developers, owners, investors, brokers and lenders in the development and management (or and redevelopment) of residential, office, industrial, hotel, resort, commercial and mixed-use projects throughout the southwestern United States.
Office and industrial condominiums and condominium conversions
We bring extensive experience and unparalleled understanding to our office and industrial condominium practice. Our attorneys are recognized authorities in this area, having presented groundbreaking seminars to professionals in the real estate, financial and related industries. Over the last several years, we have handled office, industrial and residential condominium and condominium conversion transactions exceeding $3 billion in total value throughout the western United States. We help our clients navigate through the condominium conversion labyrinth, focused on adding value while minimizing legal risk and on bringing our longstanding relationships with financial partners and other providers to the table for our clients’ benefit.
We have a strong background in high tech, biotech, biomedical and health care facilities, having represented many such companies in their facilities transactions.
We represent owners, developers, public entities, general contractors, subcontractors, suppliers, sureties and financial institutions with legal issues that arise in public and private construction projects. Specific dispute-related services include bid protests; prosecution and defense of mechanic’s lien, stop notice and payment bond claims; prosecution and defense of contractual claims, including delay, disruption, acceleration, inefficiency and defective work claims; and state and federal false claims act claims.
We represent project owners and lenders in the structuring and documentation of all types of debt and equity financing, mezzanine financing, lines of credit, like-kind exchanges and other financing transactions.
Our attorneys regularly advise property owners and governmental agencies in all areas of land use regulation and project permitting. We also obtain local, state and federal land use permits and approvals for our clients.
Problem property workouts
We represent financial institutions, developers and landlords in troubled real estate project and investment workouts, restructurings and bankruptcies. We also assist clients with purchases and sales of real estate assets and claims in insolvency proceedings.
Entity structure and formation
We help clients structure and form a wide variety of new entities to serve as real estate investment vehicles, including partnerships, joint ventures, limited liability companies, and sale-leaseback arrangements. We also advise our clients on transfer tax and Proposition 13 matters.

Real Estate Disputes
