Founded by the firm's two name partners and an associate in 2006, Proctor Heyman LLP now has eight attorneys who offer a wealth of experience in practicing in Delaware, particularly in corporate and commercial litigation matters before the Delaware Court of Chancery. The firm acts as both lead counsel and Delaware counsel in matters before Delaware state and federal courts, and works with some of the nation's leading law firms. The firm handles a full array of corporate and commercial litigation matters, including corporate governance, mergers and acquisitions, stockholder class and derivative actions, fiduciary duties, stockholder appraisal actions, and litigation involving limited liability companies and limited partnerships. The firm also acts as Delaware counsel in intellectual property disputes in the United States District Court for the District of Delaware. The firm is proud to have three former Court of Chancery clerks and two former Delaware Superior Court clerks among its ranks. One of the founding partners is a co-author of a new treatise on drafting Delaware limited liability company agreements.
