Randy Walters advises a wide variety of clients on M&A, corporate governance, buyouts, joint ventures, and securities disclosure matters. He has extensive experience in distressed M&A and restructuring transactions in and outside of bankruptcy. He also counsels boards of directors and senior management in crisis, insolvency, and bankruptcy situations, including investigations, special committees, and fiduciary duty issues.
Randy represents a wide range of clients in a number of industries, including publicly traded corporations, private equity funds, privately held corporations, and financial institutions. He has represented banks and insurance companies in lending transactions, mergers and acquisitions, regulatory matters, and mutual holding company reorganizations.
Representative clients include Battelle Memorial Institute, Columbus Exploration/Recovery Limited Partnership, Community Choice Financial, General Cable Corp., The Kroger Co., Mahle GmbH, Mettler-Toledo, Motherson Sumi Systems, Nationwide Mutual, The Ohio State University, Papa John's International, Red Capital, Rockmill Brewery, The Scotts Miracle-Gro Company, Stonehenge Partners, USI, and Wolverine Tube.
Randy has served as general counsel for several NYSE companies, practiced law in Chicago and Houston, and is a member of the American Bar Association (Business Law Section), the Ohio State Bar Association, and the Columbus Bar Association. He frequently speaks on topics relating to corporate governance and fiduciary duties. In community matters, he serves on the board of trustees of Ballet Metropolitan, a nationally and internationally recognized dance and ballet company.
