Reggie Clark is a member of Sutherland's Tax Practice Group with particular experience in corporate taxation and in planning corporate acquisitions, restructurings and other transactions. Reggie's practice includes advising a number of cooperative organizations, both tax-exempt and taxable. He also regularly advises university endowment funds concerning legal issues associated with their investment activities. His experience includes handling tax controversies and representing clients before the National Office of the Internal Revenue Service (IRS) in connection with requests for rulings or technical advice. Reggie is a former adjunct professor of law in Emory University School of Law's graduate tax program. Representative Experience Reggie's extensive representative experience includes: · Acting as tax counsel to Kraft Foods Inc. in the $2.6 billion tax-free split-off of its Post cereals business and the merger of the Post cereals business into a subsidiary of Ralcorp Holdings, Inc. · Representing Altria as tax counsel in its approximately $50 billion spin-off of Kraft. · Representing Altria as tax counsel in its approximately $5.6 billion sale of Miller Brewing Company to South African Breweries PLC. · Advising a national restaurant company on a post-acquisition restructuring of its operations. · Representing a major university in the reorganization of its investment management company. · Serving as tax counsel to a major soft drink bottling company in connection with several acquisitions.
