Richard Johnson is a member of Venable's Business Transactions Group, and focuses on mergers and acquisitions, financing transactions and general corporate planning matters. Mr. Johnson has represented clients in a wide range of industries and has worked with publicly traded, emerging growth and start-up companies.

Significant Matters

Mr. Johnson's recent matters include the following:

· Represented an international software and consulting company in a carve-out asset sale to a major private equity group and the subsequent sale of remaining assets to a public company

· Represented a veterinary dermatological products company and its affiliate in the sale of equity interests to a publicly traded pharmaceutical company based in the United Kingdom

· Represented the U.S. Department of the Treasury in securities-exchange transactions with lending institutions capitalized under the Troubled Asset Relief Program (TARP)

· Represented Marriott International, Inc. in a series of franchise agreement relicensing transactions relating to its domestic brand hotels

· Represented a government contractor funding company in obtaining a multi-million dollar revolving loan secured by customer receivables

· Represented the borrower in a significant music publishing transaction consisting of a multi-million dollar securities offering, a senior subordinated debt financing and a series of related refinancing transactions

· Represented a mid-Atlantic concrete construction company in the sale of its assets to a national competitor

· Represented an international direct-response marketing company in the refinancing of a substantial revolving loan facility

· Represented an accounting, consulting and financial services firm in the sale of its equity interests to a publicly traded, strategic buyer

· Represented an entrepreneurial internet software company in its capitalization efforts through a private offering of equity securities
