Biography

Robert's practice focuses on domestic and international corporate and partnership matters, public and private equity financings, mergers and acquisitions, and joint ventures. In addition to his commercial transactions practice, Robert acts as outside general counsel to a variety of companies.

Robert regularly supports our clients by providing expert guidance on choice of entity matters; choice of forum in which to form a company, LLC or partnership; management and compensation structures; succession planning; and exit planning. Robert structures, negotiates and drafts operating and partnership agreements, buy-sell agreements, employment and consulting agreements, and related materials common to the emerging company.

As a member of the firm's Securities practice group, Robert also works with investors and funding sources (including angel investors, venture capital firms, hedge funds, traditional sources of debt, and mezzanine lenders) to raise capital in the public and private markets. When it is time to consider selling a company or portions of it, Robert counsels clients in all manner of exit planning and implementation, including mergers and acquisitions, dispositions of divisions or specific assets and operations, and initial public offerings. Robert has particular experience counseling clients regarding international commercial transactions, including strategic alliances, joint ventures, capital raising, and M&A activity.

Robert also has extensive global energy experience, including the negotiation of upstream transactions and advising service companies on the conduct of their exploration activities in Central and South America, Eastern Europe, and the Middle East. He has established concessions, joint ventures, and corporate and partnership structures for exploration activities throughout the world. Robert advises U.S. companies on compliance matters that apply to the conduct of their international operations.

· Represented Israeli energy company in operations to capture natural gas in the waters offshore Israel

· Represented first commerical producer of oil and gas in Belize

· Represented private energy company in effort to obtain concession to explore for oil and gas and finance operations in Guatemala

· Represented Hungary-based energy company in negotiation of joint venture relationships involving counter-parties in Hungary and throughout Europe

· Represented private investor in successful effort to gain control of Nevis corporation with operations in Central America and several hundred investors throughout Europe and the Americas

· Represented Bahamas-based holding company in miscellaneous joint venture operations in the United States and throughout Europe

· Represented United States based employee outsourcing company in joint venture negotiations in India
