Roetzel & Andress represents a wide variety of regional and national associations, condominium, cooperative, and homeowner associations, and nonprofit organizations. Our experience also includes representing professional and trade associations, private foundations, public charities, and other taxable and tax-exempt organizations. Many of our attorneys are actively involved in leadership roles in various professional and community organizations, donating their time and talents to enriching the community. This first hand involvement allows us to provide practical advice to our clients in this industry.
Representative Matters
- Represented a nonprofit organization on the sale of a HUD Section 8 complex with 66 residential units, with the potential for multiple commercial units
- Managed all aspects of acquisition and leasing work for a nonprofit human service agency
- Developed and implemented planned giving programs for nonprofit organizations
- Served as trustee and legal advisor to the board of trustees and the executive director of a nonprofit corporation
- Represented an Ohio nonprofit membership organization that conducts seminars and other research-oriented programs relating to the controlled release of environmentally sensitive substances and materials
- Acted as real estate counsel for a nonprofit organization. Advised on matters such as providing assistance with property acquisition for an expanded headquarters and obtaining properties exemptions from real estate taxes. Also responsible for eminent domain acquisition by the city and state for widening of a street
- Represented a nonprofit corporation in its development of a 60,000-square foot park for children
- Argued the interests of a nonprofit organization to earn a hearing before the Commissioners of the Industrial Commission to secure a finding of "voluntary abandonment" which overturned an earlier award of temporary total disability compensation
- Registered trademarks and logos for developers, property owner associations, and commercial projects
- Organized and obtained federal tax-exempt status for a variety of nonprofit organizations, including title holding companies, social welfare organizations, business leagues and trade associations, social clubs, and homeowners' associations
- Represented residential and commercial condominium associations and property owners' associations in formation, representation, and turnover
- Acted as bond counsel in regard to the issuance of tax-exempt qualified 501(c)(3) bonds for nonprofit organizations
- Applied for and obtained 501(c)(3) status for newly formed charitable organizations
- Organized and obtained federal tax-exempt status for a variety of nonprofit organizations, including: title holding companies, social welfare organizations, business leagues and trade associations, social clubs, and homeowners' associations
- Represented certain board members of a family foundation against other members in matters relating to self-dealing
- Advised a national public charity regarding the formation and operation of state supporting organizations, as well as secured group exemption status for it and its supporting organizations under section 501(c)(3)
- Represented a homeowners' association in a dispute with its general contractor for a significant dollar amount
- Drafted Declaration and Covenants for numerous homeowners' and condominium associations
- Represented a homeowners' association in disposition of 100 acres of residential property
- Creation of "supporting organization" to hold real property on behalf of a tax-exempt religious school
- Formed a nonprofit organization for production of operas.
- Advised a tax-exempt library organization on transfers of property, changes of tax status, and other consequences of establishing of a special library taxing district
