- Defended hospitals, physicians, dentists, audiologists, pharmacie, pharmacists, and other health care entities against professional medical malpractice claims
- Structured and negotiated the acquisition of a state-affiliated acute care hospital's assets on behalf of a full-service health care provider
- Represented a 20-physician anesthesia practice, including internal shareholder and employment agreements and negotiations of contracts with third parties
- Represented several large hospital groups in collective bargaining negotiations
- Represented the nursing home in a 10(b)(5) securities fraud and common law fraud litigation
- Represented various hospitals in all types of employment-related matters including defending employment litigation and handling National Labor Relations Board and Department of Labor matters
- Represented physicians and their practices in various matters of practice development, including entity formation, buy-sell agreements, practice dissolution, and negotiation of employment agreements
- Represented a bank group in connection with a letter of credit issued to support $112 million principal amount of variable rate multi-mode tax-exempt bonds issued for a multi-hospital health care system
- Represented several large hospital groups in labor negotiations
- Defended the largest private hospital system in Ohio in a multimillion dollar contract lawsuit involving the provision of a variety of home health services
- Represented a lender in financing a series of nursing home acquisitions and renovations by affiliated borrowers
- Represented several large hospitals in discrimination and retaliation suits, as well as in labor arbitration proceedings
- Negotiated numerous labor agreements with health care industry unions
- Counseled a major hospital in the joint venture and self-development of a health and wellness center
- Defended a health care provider against sexual harassment claims and hostile work environment allegations by a former employee
- Represented an acute care hospital in real estate leasing, tax exemption, acquisition, development, and construction issues
- Represented a medical practice against its former physician / employee and a hospital for both breach of non-compete and tortious interference
- Served as lead labor and employment counsel for a national health care system
- Assisted in defeating several union organizing campaigns
- Represented a dialysis business, from near-inception through sale, including: negotiations with physicians, operating agreements, management contracts; and legal work associated with its sale to a publicly-traded company, including negotiating asset sale agreements, equity interest sale agreements, consulting agreements, and due diligence
