Background

Ross D. Freeman is a partner in our Calgary office. Ross was admitted to the Alberta Bar in 1979, having obtained his LLB from the University of Toronto in 1978 and a BA (Economics) from Ottawa University in 1975.

Areas of Practice

· Ross practises exclusively in the tax area, with a particular emphasis on corporate, mergers and acquisitions, international and resource tax.

· Ross also handles tax disputes with revenue authorities and acts as a director/trustee of several large private wealth corporations/trusts.

Professional Experience

· The practice experience of Ross includes virtually all areas of taxation work including:

- Tax advice on the structuring of corporate/commercial transactions including acquisitions, divestitures, mergers, financings and reorganizations ranging from junior public and private companies to multi-national oil and gas pipeline, manufacturing, technology and service companies

- Making representations to federal and provincial governmental authorities with respect to the drafting of and interpretation of fiscal legislation

- Drafting tax commentary for public and private disclosure documents including prospectuses, offering memoranda and circulars for businesses in real estate, film, oil and gas, recreational development, technology, manufacturing and numerous other industries

- International tax planning involving countries throughout the world including the United States, Europe, Japan, the Caribbean, Hong Kong and South America

- Resource industry tax planning involving such matters as flow through shares, resource pool transfers and royalty trusts

· Ross is a nationally recognized tax consultant. He has delivered papers at numerous conferences and seminars including:

- Past Board Member of the Small Explorers and Producers Association of Canada and past Chairman of the Finance Committee thereof

- Served on the Calgary United Way Major Donors Program Committee
