R&V's commercial clients are involved in a variety of foreign investment and foreign trade transactions including export and import sales, installation of manufacturing plants and production facilities, corporate transactions with and without Russian participants, purchase of Russian stocks and government bonds, ship registration and secured maritime financing, minerals exploration and extraction ventures, including oil and gas exploitation under production sharing agreements, and hotel and tourism related enterprises. To assist these matters, R&V advises on all aspects of commercial law, including Russian contract law, tax law, corporate law, banking law, minerals law, labor law, maritime law and securities law. In addition, R&V conducts company due diligence on prospective investment targets and business partners, litigates and arbitrates in Russian courts and international forums, carries out the registration and accreditation of foreign legal entities, and provides continuing assistance to expatriate personnel working in Russia and the Commonwealth of Independent States (CIS).
R&V also advises on all aspects of Russian intellectual property (IP) law, including developing trademarks and service marks, conducting preliminary clearance searches, and preparing, filing and processing applications with the Russian patent and trademark office (PTO) and those of foreign countries including the CIS countries and Baltic states, as well as developing and registering IP licensing agreements and assignments of rights. R&V also assists clients in international trademark registrations. R&V's trademark attorneys represent clients in IP litigation, including both in administrative proceedings before the PTO Chamber of Patent Disputes and in Russian courts.
Recent multinational projects have included legal guidance on multi-billion dollar projects involving the extraction of oil and gas within the Sakhalin-1 and -2 framework; government approval of a production sharing agreement for the development of shelf deposits within the Sakhalin-3 framework; and assisting with complex permitting and licensing required by a multitude of local Sakhalin and federal state bodies for contractors and sub-contractors engaged in these projects.
Significant assignments related to these projects include:
• assisting in arranging for the large-scale international maritime transport of equipment and personnel to undeveloped beach sites for the installation of unique horizontal drilling operations;
• reconciling the latest drilling waste disposal technologies with Russian environmental law and PSA-related requirements;
• consulting on structuring contractual relations for maximum tax and foreign exchange advantages;
• advising on Russian and international oil spill containment requirements;
• structuring contractor and sub-contractor obligations for the construction of oil and gas pipelines and liquefied natural gas plants on Sakhalin;
• designing transactions for the construction of offshore oil and gas platforms;
• consulting on Russian and international law on the containment of oil spills.
The firm has represented both public and private lenders involved in financing large-scale projects in Russia, many of which have involved the establishment of mortgages and other security arrangements. R&V is experienced in dealing with the problems inherent in the recent privatization of government assets, and in dealing with the property law and real estate issues often involved. The firm has been involved in a variety of maritime issues, including the negotiation, registration and execution of ship mortgages, the planning and construction of port facilities, and the development of port navigation rules.
The firm has represented foreign investors involved in the acquisition of Russian real property and the construction of manufacturing facilities for the production and sale of beer and continues to be involved in a variety of merger and acquisition transactions. The firm provides guidance to clients worldwide on a broad array of Russian employment and labor law issues, including assistance with the labor law regimes of the Russian Far East and Extreme North. R&V is involved in litigation and arbitration at all court levels in Russia and before international arbitration bodies throughout Europe.
