About this office:

Established in 1998 and aimed at serving the business activity of Bulgarian and foreign commercial companies. The main team, based in Sofia, consists of 11 legal experts including partners and associated lawyers, and 5 support staff. The firm provides assistance in 6 of the biggest Bulgarian towns: Sofia, Plovdiv, Varna, Bourgas, Shoumen and Stara Zagora. Working languages: Bulgarian, English and Russian.

Litigation/Arbitration: Representation of clients in courts and arbitration proceedings in cases related to privatization transactions, commercial contracts, bankruptcy, debts collection, bills of exchange and promissory notes law, administrative proceedings; consultations and representation at the Commission for Protection of the Competition in economic concentration or unfair competition cases.

Corporate and Commercial legal services: preparation and negotiation of commercial contracts, financial instruments, providing of security, etc.; restructuring; establishment of new legal entities, preparation of constitutional and corporate documents, organizing and chairing shareholders' meetings; registrations in the commercial register or at the Bulgarian Chamber of Commerce and Industry.

Public Companies and Securities: the law firm is working extensively with the Financial Supervision Commission, the Central Depository, the Bank Supervision Department at the National Bank and the Bulgarian Stock Exchange - Sofia on legal issues related to the legal status of public companies, public offering, trading and pledging of securities.

Privatization expertise: legal advice to local and foreign companies relating to their participation in the privatization of state-owned enterprises. This service includes all phases of a privatization procedure - selection of attractive enterprises, due diligence reviews, establishment and registration of new entities (special purpose vehicles) for participation in the privatization, assistance upon negotiations with financing institutions, preparation of proposals (or tender documentation), leading negotiations with the respective state agency or ministry, execution and closing of privatization agreements.

Post-Privatization support: restructuring and optimization of the legal structure of the privatized company and its contractual relations with suppliers and distributors, protection of its intellectual property rights, debts collection, assistance in relation to post-privatization control.
