Practice/Industry Group Overview

Saul Ewing's Intellectual Property & Technology Practice Group is comprised of attorneys and paraprofessionals located throughout the Firm's regional footprint -- Baltimore, Chesterbrook, Harrisburg, Philadelphia, Princeton, Washington, D.C. and Wilmington. Our practice centers on two areas: (1) intellectual property protection, and (2) technology contracting, primarily in the area of information technology.

Intellectual Property and Data Protection and Enforcement

We help clients to protect their intellectual property worldwide, including:

  • Prosecuting copyright and trademark applications
  • Conducting intellectual property audits and due diligence
  • Counseling employers on protection of IP assets
  • Litigating intellectual property, infringement, unfair competition, and IP-related employment disputes
  • Pursuing and defending against bid protests and contract claims in the technology arena
  • Counseling clients on compliance with U.S., Canadian, and E.U. privacy and data protection laws.

Technology Contracting

We represent both customers and vendors across a wide range of industries, particularly healthcare, financial services, and manufacturing. Common types of transactions include:

  • Complex system procurement and implementation arrangements, including hardware, software, and services elements
  • Assistance with development of RFPs and responses
  • Software, content, and data licensing and maintenance agreements
  • Advanced software contracts -- including development, reseller, private label, OEM, application service provider (ASP), and service level agreements
  • Internet and e-commerce agreements -- including website development, hosting, colocation, and maintenance agreements; website terms and conditions, including privacy policies; and co-branding, and linking agreements
  • Information technology services and consulting agreements
  • Information technology outsourcing agreements
  • Joint development, joint marketing, joint venture, and strategic partnership agreements
  • Technology and intellectual property aspects of mergers, acquisitions, and other general business transactions
  • Governmental technology procurement contracts, particularly involving school districts and state and local agencies, including teaming arrangements
