Scott represents public companies in capital markets transactions, securities law compliance, and general corporate matters. He also represents start-ups, emerging-growth companies, and private equity firms in M&A transactions, venture capital financings, restructurings and recapitalizations, and other significant corporate matters.
On behalf of clients, Scott handles the drafting and negotiating of various legal documents, including stock and asset purchase agreements, merger agreements, investment documents, registration statements, proxy statements and other securities filings, confidentiality agreements, letters of intent, and governance documents. He also advises clients on general corporate and limited liability company law and stock exchange rules, including with respect to governance, securities law filings, and director fiduciary duties.
Prior to joining Mintz Levin, Scott was an associate in the Boston office of another international law firm. During law school, he clerked for the Honorable Kevan J. Cunningham at the Taunton District Court and was on the Suffolk University Transnational Law Review.
Before joining the legal profession, Scott was a marketing professional responsible for public relations matters, coordinating experiential marketing campaigns, and creating marketing materials.
