Sean W. Moran

Sean W. Moran focuses his practice on a wide range of legal matters including mergers and acquisitions, debt and equity financings, corporate control transactions, syndicated investment programs, commercial transactions and real estate development projects. Twice named a Pennsylvania "Rising Star" in Philadelphia Magazine, Sean works closely with his clients and often serves as outside general counsel for their businesses.

Sean has represented privately held as well as publicly owned clients in a wide range of industries, including oil and gas, sports and entertainment, manufacturing and technology. Among his recent representations, he has:

· Represented a multinational industrial distribution company in its sale to a private equity firm.

· Represented oil and gas drilling companies in connection with their syndicated partnership investment programs.

· Assisted publicly traded and privately held energy companies in mergers and acquisitions, debt and equity financings as well as day-to-day business activities.

· Represented investors and strategic acquirers in evaluating, structuring and consummating acquisitions in bankruptcy and other distressed situations.

· Represented a wide range of energy companies in assessing and acquiring assets and/or venture interests in the Marcellus Shale formation.

· Counseled emerging companies in the structuring, negotiation and conclusion of debt and equity financing transactions and with developing and implementing corporate control transaction strategies.

· Assisted real estate investors and development companies in acquisition, financing and development activities.
