Shane C. D'Souza is an associate in our Litigation Group in Toronto. He maintains a general civil and commercial litigation practice with a focus on securities litigation, shareholder disputes, takeover bids, oppression remedies, directors' and officers' liability, internal investigations, breach of fiduciary duty, corporate opportunity, insider trading, and artificial pricing matters. He also has experience in other commercial litigation, professional liability and medical negligence law.
Mr. D'Souza recently co-authored a chapter entitled "Multijurisdictional and Transnational Class Litigation: Lawsuits Heard 'Round the World" in the newly published World Class Actions: A Guide to Group and Representative Actions Around the Globe, published by Oxford University Press.
Mr. D'Souza's notable recent cases include:
· Re Petaquilla Minerals [2012, awaiting reasons], counsel to bidder in unsolicited takeover bid where the British Columbia Securities Commission cease traded (a) the target's shareholder rights plan after 35 days, and (b) a financing that was announced prior to the bid.
· Rolf Laumann v. Economical Mutual Insurance Company, 2011 ONSC 2653 (Sup. Ct.), counsel to a dissident group engaged in a proxy contest in respect of procedural relief relating to the distribution of proxy materials.
· The Economical Insurance Company v. William Andrus and The Persons Set Out in Schedule "A", 2011 ONSC 2184 (Sup. Ct.), counsel to a dissident group that successfully responded to application contesting the validity of policyholder proposals to remove directors.
· Re Nott et al, [2011] IIROC No. 26, counsel to traders and investment dealer that successfully argued for reduced sanctions for registrants found to have violated Universal Market Integrity Rules (UMIR) concerning artificial pricing.
· McIntyre v. Ontario College of Teachers, 2012 ONSC 5957 (Div. Ct.), represented Respondent in defending a member's appeal from a revocation decision.
· Aris v. Ontario College of Teachers, 2011 ONSC 1202 (Div. Ct.), represented Respondent in a judicial review application concerning an interim suspension.
· Chan v. Tang, 2012 ONSC 2050, counsel to family physician at trial about the negligent administration and monitoring of plaintiff's anticoagulation which led to the plaintiff's stroke.
· RC v KR, 2012 CanLII 49997. counsel to physicians at review of decision of investigations committee of College of Physicians and Surgeon of Ontario.
Currently, Mr. D'Souza is a member of the teaching team for the Lawyer As Negotiator course at Osgoode Hall Law School. He also volunteers as a mentor with the Osgoode Hall Mentorship Program and as duty counsel for Pro Bono Law Ontario at the Small Claims Court. Mr. D'Souza is also a member of the firm's National Pro Bono Committee.
Mr. D'Souza received his J.D. from Osgoode Hall Law School in 2009. While attending law school, he chaired Student Caucus of Faculty Council and served as an Executive member of the Legal and Literary Society. He also volunteered with Community Legal Aid Services Program and Pro Bono Students Canada. At Osgoode Hall, Mr. D'Souza received numerous awards, including the Gold Key Award, Legal and Literary Society Student Honour Award, McCarthy Tétrault LLP Leadership Award, Torkin Manes Cohen & Arbus LLP Prize, and the Osler, Hoskin & Harcourt LLP Research Prize in Corporate Law.
Prior to law school, Mr. D'Souza completed his Bachelor of Information Systems (Honours with Distinction) in 2002 from St. Francis Xavier University in Nova Scotia, winning the Governor Generals Medal and the Onex Corporation Gold Medal. He subsequently worked as a software developer with Sobeys Inc., a national food retailer.
Mr. D'Souza was called to the bar in Ontario in 2012.He is a member of the Law Society of Upper Canada, the Canadian Bar Association and the Ontario Bar Association.
