Our practice is divided into four areas: (i) Securities and Ventures, (ii) Financial Institutions, (iii) Benefits and Taxation and (iv) Commercial Business Law.
Our Securities and Venture Law Group specializes in representing clients on the sale of equity and debt securities to fund and expand their businesses. We represent a broad spectrum of clients ranging from developmental stage companies to mature public companies.
We also have a unique expertise in mergers and acquisitions and have represented a wide variety of companies on such transactions. As a result of our expertise and reputation in this area, we are frequently engaged by companies with which we have had no prior relationship to represent them on merger and acquisition transactions.
Our Financial Institutions Group focuses on representing depository institutions, including commercial banks, savings associations, credit unions, non-bank banks, specialty lenders and trust companies on a variety of regulatory matters before various federal and state agencies. In addition, members of the Financial Institutions Group work closely with members of the Securities and Venture Group on complex bank reorganizations, securities offerings, and mergers and acquisitions.
Our Firm represents non-financial companies, both public and non-public, national and international, and individuals in corporate, securities, real estate, leasing, financing, income tax and estate planning matters.
Our Firm also maintains a practice specializing in pensions, executive compensation and employee benefits, including qualified plans of all types (including 401(k) plans and ESOPs), non-qualified deferred compensation, fringe benefits and welfare benefits (including cafeteria plans, welfare benefit plans, VEBAs, corporate owned life insurance, group life and medical plans).
