Acting for the Cypriot buyers of shares in a Russian steel pipes giant worth US$1.3 billion. Assisting Gibson, Dunn & Crutcher in the structuring of the syndicated loan for the financing of such acquisition of US$470 million, probably the largest shareholder loan granted for the acquisition of shares in a Russian private company. Assisting Freshfields as the Cyprus counsel in a high profile international arbitration relating to matters under the Energy Charter. Acting on behalf of LSR Group in relation to the acquisition of a Cyprus company holding the shares of a Russian subsidiary engaged in construction material production (amount involved Euro 200 million). We handled the 50% acquisition by a very prestigious global investment bank of various Cyprus holding companies, ultimate owners of large commercial, hotel and residential real estate assets and properties in Europe, for an amount of 200.000.000, including the carrying out of legal due diligence, drafting of security documents and providing legal opinions on corporate, tax and other legal matters. Acted on behalf of KS Energy Services Limited in relation to the acquisition of the whole issued share capital of several Cyprus Companies. Advising the group with regard to the restructuring of their credit facilities and the provision of security for the same in Cyprus. Issued Cyprus law opinion to ING Bank N.V. Deal of USD121million. Providing legal opinions and other legal assistance as Cyprus counsel for the listing in the LSE of the shares in Public Joint Stock Company "Nutrinvestholding". Assisting Freshfields and acting on behalf of Severstal as Cyprus counsel in the acquisition of two gold mining enterprises in Russia. | |
