As a partner in the firm's Denver office, Mr. Ismert is primarily engaged in the areas of finance, real estate and secured commercial transactions. He advises large public REITs, banks, institutional investors and lenders with the sale, acquisition, disposition and financing of a variety of local and national real estate projects and business loan transactions. In addition, Mr. Ismert counsels both lenders and owners in a wide range of real estate and building development projects, including multi-family housing, shopping centers, hotels, public buildings, golf courses and health care facilities. He also represents telecommunication, high-tech and computer software companies in connection with joint venture, software licensing and consulting agreements, as well as general corporate transactions such as mergers and acquisitions. His educational background in business and over 18 years in the business finance and real estate industries allow him to more effectively represent his clients to achieve their business goals.
•Representation of institutional lenders and banks in connection with project and construction financing, revolving credit facilities, mezzanine loans, complex cash flow and lockbox arrangements, credit enhancement and letters of credit.
•Representation of banks and non-bank lenders in restructuring loans, deed-in-lieu transactions and foreclosures.
•Counsel to a variety of public REITs in the sale, financing and disposition of over $600 million in real estate and real estate loans since 2008.
•Counsel to a regional health care provider in the development and financing of a regional hospital, medical campus and related leasing transactions.
•Prepares and negotiates land purchase and development agreements and reciprocal easement and use agreements for ground-up development and construction of power centers, condominium, multifamily and mixed-use development projects.
•Serving as corporate counsel for a successful software development company including the development and negotiation of software license and consulting agreement forms, start-up debt and equity financing, stock option plans and shareholder agreements.
