Stuart Goldstein is the Managing Partner of Cadwalader's Charlotte office, Co-Chair of the firm's Capital Markets Group and a member of the firm's Management Committee. He concentrates his practice in the areas of structured finance, fund formation, structured products, and the federal securities laws.
Stuart practices primarily in the areas of asset securitization and fund formation, representing issuers, underwriters, collateral managers, and institutional investors, in both public and private transactions. He represents fund managers in structuring, organizing and financing hedge funds, debt and opportunity funds, funds of funds, and other investment vehicles, developing, negotiating and documenting financial products. He has extensive experience in analyzing and structuring asset- and mortgage-backed securities, collateralized debt obligations, and other instruments and products, as well as structuring transactions involving interest rate swaps, caps, floors and other derivative instruments. Stuart is a member of the CMBS and CDO groups at Cadwalader.
Stuart has extensive experience in work-outs of non-performing commercial mortgage loans in CMBS transactions. He was a panelist in a recent CMSA forum on Work-Out Fundamentals.
Stuart also represents clients in the purchase and sale of commercial and multifamily mortgage loans, mezzanine debt, subordinate debt, and residential first and second mortgage loans (including FHA, VA, conventional, and manufactured housing) in whole loan and participation structures. In addition, he has extensive experience in secured lending and represents lenders in structuring and negotiating finance facilities.
Stuart is the co-author of "The Developing Global Market for CRE CDOs," ISR, March 2007 and "CRE CDOs Go Global," Institutional Investor News, October 2006.
Stuart received a B.S. from Cornell University and his J.D. from Boalt Hall School of Law at the University of California at Berkeley. He is admitted to practice in the States of New York and California and is a member of the American Bar Association and the New York State Bar Association. He was recently recognized by Best Lawyers in America as Lawyer of the Year in the area of Securitization and Structured Finance. He is also listed in Chambers USA: America's Leading Lawyers, Who's Who in America, Who's Who in the East, and Who's Who in American Law.
