Tamer represents companies and private equity and venture capital funds in mergers and acquisitions, equity and debt financing transactions, commercial contracts, and day-to-day corporate matters. He also routinely counsels private equity, venture capital and mezzanine funds and limited partners on matters relating to fund and capital formation, securities law matters and investment activities. Tamer's practice includes advising funds in connection with becoming licensed as Small Business Investment Companies (SBIC) and with respect to regulatory matters following licensure. In addition to corporate law, Tamer has worked in investment banking, where he focused on the alternative energy and cleantech sectors.
•Represented a venture capital-backed provider of payment management software and services in its sale to a publicly traded global provider of payment systems
•Represented a private equity firm in the leveraged acquisition of a packaging systems distributor
•Represented two venture capital funds in their growth equity investments in a provider of regenerative wound healing solutions
•Represented a hospital equipment management company in equity capital raising transactions
•Represented numerous private equity, venture capital, and mezzanine funds, including Small Business Investment Companies (SBICs), in all stages of development, including drafting fund formation, partnership and private offering documents, advising on securities law matters and negotiating revolving line of credit facilities
•Represented a state pension system in several investments in private equity, venture capital, real estate and hedge funds
•Represented a large healthcare system in the sale of its hospitalist business to a public company
•Represented an investment fund in a credit facility to finance a private equity fund's acquisition of a manufacturer of equipment used in the energy industry
•Represented a medical products company in mergers and acquisitions and corporate finance transactions
•Represented a cleantech-focused biotechnology company in equity and debt financings with venture capital investors and in general corporate matters

Tamer serves on the Auxiliary Board of the Shedd Aquarium, which is one of the largest indoor aquariums in the world. Tamer is currently co-chair of the conservation and education committee of the Auxiliary Board.

This was the second such acquisition for which we assisted NCAB. The world's largest outsourced-supplier of PCBs, NCAB is a Swedish technology company having 13 global locations in North America, Europe, and Asia, including China.
Ohio Medical Corporation Refinancing
We represented Ohio Medical Corporation in the November 2011 refinancing of a large credit facility.
ISD Corporation Sale of Parent Company Stock
