Teresa's primary focus is commercial finance, corporate matters and business transactions. She represents clients in connection with asset-based lending, cash flow financing, capital restructure, mezzanine financing and permanent loans. Teresa has extensive experience representing all types of investors in mid-cap and large-cap syndications and smaller club transactions. Teresa also represents clients in connection with the structuring and formation of business entities, buy/sell agreements between principals of the business, incentive plans, restructurings and reorganizations. Additionally, she represents buyers and sellers in connection with the purchase, sale, merger and other varieties of acquisition of operating businesses and business assets. Teresa also represents businesses in connection with agreements with vendors and customers, including non-competition, confidentiality, supply, distribution and service agreements.
