Thomas G. Buchanan is a member of the firm's Advisory Committee and co-chair of the Corporate Finance & Technology Section, as well as a member of the section's Executive Committee. He is also co-chair of the Venture Capital & Emerging Companies Group. Tom has nearly 20 years of experience representing clients across a broad range of corporate transactions, including mergers, acquisitions, dispositions, venture capital financings and joint ventures. He is a trusted advisor to his clients, often serving as general counsel for companies that do not have in-house counsel. Tom has had first-chair merger and acquisition responsibility on many transactions over his career with aggregate values of well over $2 billion. These include asset and stock purchases and dispositions, asset exchanges, mergers, consolidations, spin-offs, asset divisions and related transactions for clients in a variety of industries including steel, telecommunications, software, lumber, plastics, security alarm, soft drink, metal hose and tubing, bellows, industrial tire, building fasteners, tool monitoring, chemicals and publishing. Among his areas of focus, Tom represents local and national venture capital funds in connection with structuring, negotiating and documenting venture capital financings. Some of Tom's recent engagements in this area include: · Representing a New York-based venture capital fund in connection with Series A and Series B Preferred Stock financings and related bridge financing for an intrusion detection and security software company. · Representing the venture capital arm of a Fortune 500 corporation in connection with a number of multimillion-dollar investments in early stage technology companies. · Representing a locally based, national venture capital fund in connection with a series of Preferred Stock investments in a software solutions provider. In addition, Tom also represents early stage and emerging growth technology companies in connection with formation, financing, general corporate and strategic matters. Some recent engagements in this area include: · Representing an enterprise software solution provider in the completion of a $5 million Series A Preferred Stock financing. · Representing a technology-based, investment advisory services firm in fund-raising activities from initial angel investment through a multimillion-dollar Series A Preferred Stock investment from a local venture capital fund. · Representing a developer of chemical imaging software and equipment in connection with the completion of a multimillion-dollar bridge loan and follow-on Series A Preferred Stock financing. Tom also regularly counsels management, boards of directors and individuals on their corporate and shareholder duties, responsibilities, rights and obligations. In this regard, Tom recently assisted a founding member of one of Pittsburgh's largest advertising agencies in connection with the negotiation and documentation of a comprehensive arrangement for the orderly transfer of ownership and control to other shareholders in the business. Tom worked closely with counsel for both the company and the other principal shareholder in the business to achieve an amicable arrangement for all parties. Tom has provided similar assistance to other shareholder groups and families seeking to transfer ownership and control of their business, often working in conjunction with the firm's tax planning and trust and estates lawyers to develop a comprehensive transition plan. Tom counsels and assists nonprofit organizations in connection with mergers, consolidations and related corporate matters. In this area, Tom represented the parties in connection with the consolidation and formation of Pittsburgh Vision Services and in connection with the consolidation of Spectrum Family Networks. Tom regularly counsels companies on their compliance obligations under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 and related matters.
