Practice/Industry Group Overview

Trenam Kemker’s Business Transactions practice provides clients with some of the most important legal services involved in organizing, operating, financing, and expanding their businesses. Our clients range from individual entrepreneurs to regionally focused and nationally recognized public companies. We serve as general corporate counsel for many of our corporate clients and handle specific matters for others. Each client, large or small, is given personal attention and the benefit of our collective knowledge and experience.

In contrast to some other firms who have experienced rapid turnover of their business law staffs in recent years, each of our senior business lawyers combine judgment and maturity borne of experience and substantive legal expertise. We have found that successfully structuring, negotiating and closing sophisticated business transactions and agreements requires a lawyer to have not only experience, knowledge and creativity, but also the organizational skills to manage and coordinate the project.

Because business transactions typically have tax ramifications, we believe that our business clients are better served by business lawyers who are able to advise on both tax and business law issues in a particular project, and we are trained to be sensitive to the tax issues presented by each business transaction. Many of our lawyers have focused on particular areas of tax law in order to develop expertise and better serve our clients.

For both individuals and businesses we advise on the tax aspects of employment and consulting contracts; merger, acquisition and financing transactions; and other business arrangements. We also assist clients in all aspects of domestic, federal, state and local tax compliance; audit assistance; tax collection and workout plans; general representation with tax agencies and courts; and tax litigation.
