| Biography | Wade Schut is a member of the firm's Business, Finance and Real Estate Department, and practices in the areas of transactional and business law, securities and mergers and acquisitions. During his 20+ years with the firm, Wade has regularly practiced in many areas of business law, including acquisitions and sales of assets and securities, public and private placements of securities, renewable energy, corporate governance, mergers, joint ventures, contracts, debt and equity financing, advising boards of directors and other governing boards, business planning, reorganizations, franchising and software and technology development and licensing. Wade is often requested to assist clients in a capacity similar to an in-house general counsel. Wade also represents reporting companies in all aspects of compliance with the Securities Exchange Act of 1934. Wade represents a diverse mix of organizations, ranging from start-up or development stage companies to large multi-national companies. Wade has represented companies in the initial organization and business planning of the company through the development of the business of the company and all related start-up activities, such as the development of all necessary contracts, any governmental or regulatory filing or approvals, and various rounds of debt and equity financing. Wade's clients are engaged in a wide range of businesses, including ethanol, manufacturing, technology, shipping services, advertising, implement dealerships, software, securities, commodities, agriculture and real estate.
