Wendi Locke is a partner in our Business Law Group in Toronto. She advises on a broad range of corporate and securities law matters, including corporate governance and compliance issues. Ms. Locke regularly acts on both public and private offerings of equity and debt securities in Canada, with an emphasis on initial public offerings, medium term note programs and the issuance of capital trust securities by financial institutions. She frequently acts on behalf of Canadian issuers in connection with cross border securities offerings into jurisdictions such as the United States and United Kingdom. Ms. Locke represents both national and international clients in various industries, with a particular focus on the financial services and technology sectors. Her recent transactional experience includes acting for: · The Toronto-Dominion Bank in connection with the establishment of TD Capital Trust III and its $1 billion initial public offering of TD Capital Trust III Securities; · The Toronto-Dominion Bank in connection with 10 public offerings of preferred shares and 9 public offerings of subordinated medium term notes for total proceeds of approximately $13 billion; · Q9 Networks Inc. in connection with the acquisition by ABRY Partners, LLC by way of plan of arrangement; · The Toronto-Dominion Bank in connection with the public offering of approximately 35 million common shares for total proceeds of approximately $1.4 billion; · Constellation Software Inc. in connection with its $80 million initial public offering; · The underwriters in connection with the establishment and $50 million initial public offering of Scott's Real Estate Investment Trust and subsequent public offering of convertible debentures for total proceeds of $20 million; · Vasogen Inc. in connection with two cross border public offerings of common shares and warrants for total proceeds of approximately US$36 million; · The Toronto-Dominion Bank in connection with the establishment of its US$8 billion Euro Medium Term Note Programme and subsequent €2 billion issuance of deposit notes thereunder; · GE Capital and Wells Fargo in connection with their medium term note programs in Canada and offering of over $20 billion of notes. Ms. Locke is also an instructor for the advanced securities law programs offered by the University of Western Ontario and University of Windsor law schools. Ms. Locke received her BA (Public Administration) from the University of Western Ontario in 1995, her B.Comm. (Hons.) from the University of Windsor in 1997 and her combined MBA/LLB from the University of Windsor in 2000. She was called to the Ontario bar in 2002. |
