Experience: Bill, a Shareholder of GrayRobinson, specializes in tax, corporate, and health law with emphasis on business transactions including mergers and acquisitions of businesses; formation of corporations, partnerships, joint ventures and other business entities; contracts for employment and buy-sell agreements; and estate planning. Bill has represented a number of hospitals, physician groups and other organizations in all aspects of health law related issues, including tax and business issues. In recent years, Bill has assisted physician groups in their sale to hospitals; has negotiated contracts for hospital-based physicians with various hospitals; and has assisted in the formation of physician hospital joint ventures in Florida. Bill has been involved in the structuring and formation of numerous health care networks and the purchase and sale of numerous physician practices. In addition, Bill has extensive experience in working with tax exempt organizations including the formation of a tax exempt hospital. Bill has served as lead counsel to a local home health care agency. Bill has also handled numerous corporate mergers and acquisitions unrelated to the health care area. Bill has also represented hospital-based physicians in negotiation of hospital-based contracts. Bill was instrumental in the formation and development of, as well as obtaining, the tax exempt status for the Orlando-UCF Shakespeare Festival, Inc. and numerous other tax exempt organizations (including private foundations). Bill also serves as Co General Counsel of Parrish Medical Center (North Brevard Hospital District) and Munroe Regional Health System, Inc. (a 501(c)(3) health care organization). He serves as General Counsel to Florida Hospital Foundation, Hope World Wide, Inc., Wycliffe Bible Translators, Inc., Jess Parrish Foundation, Inc., tax exempt educational organizations and numerous churches and other tax exempt organizations. Bill has also handled numerous corporate mergers and acquisitions. Bill is a member of the Christian Management Association and the Christian Legal Society. Bill has represented numerous businesses and individuals in conflicts with the Internal Revenue Service involving tax assessments from several hundred thousand dollars to several million dollars. These cases have involved questions concerning unreasonable compensation, proper allocation of deductions between multiple entities, deductions for highly leveraged investments, valuation questions and substantiation of deductions. Bill has also assisted clients in resolving conflicts in the state and local taxation area, including sales tax issues, tangible personal property tax valuation issues, and real property valuation issues. Bill's experience in the tax controversy area includes representing corporate and individual clients in regard to complex tax issues and representing individual clients in regard to investments in tax shelters which has created controversy concerning the individual's tax return. Bill is also a licensed Certified Public Accountant. Background: Bill was born in Lakeland, Florida. He attended the University of Florida where he graduated in 1973 with a degree in accounting. Bill then attended the University of Florida College of Law, graduating with his law degree in 1976 and his Masters of Law in taxation in 1978. Bill has been a practicing attorney in Orlando since 1978, specializing in business, tax, estate planning and health law.
