UK Capital Markets

Our English law practice includes assisting clients with public and private offerings of securities and debt, senior note placements, and Euro-commercial paper programs for lenders, borrowers, underwriters, and issuers.  We also assist with U.S. public and private offerings for foreign issuers and dual New York/London listings of securities.  We have resident New York attorneys in London and our other European offices who can advise on New York law aspects of these transactions, as well as on securities regulatory issues.

UK Cross-Border M&A Transactions

Winston & Strawn has substantial experience with cross-border mergers and acquisitions, strategic alliances and joint ventures, private equity investments, venture capital financing, and the establishment of U.K. operations for foreign corporations.  Our attorneys in London have handled M&A transactions of all sizes and of all degrees of complexity, and have represented a diverse base of clients, including buyers, sellers, and funding sources. We emphasize creative financing solutions that include business planning.  We also advise clients on related employment, litigation, and regulatory issues implicated by these transactions.

International Litigation and Arbitration

Attorneys in the firm’s London office provide representation in complex commercial litigation and arbitration matters.  Our experience includes bankruptcy and other business disputes, insurance coverage matters, and regulatory investigations.  We have experience in arbitration proceedings before the International Chamber of Commerce, the London Court of International Arbitration, and the London Maritime Arbitrators’ Association.
