Representative Matters
Brian Fulka v. Northwestern Medical Faculty Foundation, Inc. Northwestern Medical Faculty Foundation, Winston & Strawn represented Northwestern Medical Faculty Foundation (NMFF) in a case brought by a former employee in the Northern District of Illinois. The plaintiff claimed that NMFF had interfered with his taking of intermittent FMLA leave and had terminated him in retaliation for taking such leave. Winston attorneys argued that the plaintiff's interference claim must be dismissed because he was granted all leave that he requested. We also argued that his retaliation claim should be dismissed because he was not meeting NMFF's legitimate expectations at the time he was terminated. The court agreed with Winston's arguments for NMFF, dismissing the case in its entirety on our motion for summary judgment. Heald College Asset Sale to Heald Education LLC Heald College Winston & Strawn represented Heald College, a California nonprofit public benefit corporation in connection with the sale of substantially all of its assets to Heald Education LLC, a for profit Delaware limited liability company affiliated with Palm Ventures LLC. Heald College was a post-secondary educational institution that operated 11 campuses throughout California, Oregon and Hawaii. To our knowledge this was the first transaction of this type in the Western Region and it involved many novel issues associated with the sale of a nonprofit educational institution to a for profit buyer. Loker Hydrocarbon Institute Patent Matters University of Southern California Winston & Strawn attorneys have represented Dr. George A. Olah, a Nobel Prize winner in Chemistry, and the University of Southern California's Loker Hydrocarbon Institute, in the preparation, prosecution, and licensing of various patents in the field of hydrocarbon processing, oil and gasoline additives, fuel cells, and in chemical recycling of carbon dioxide. Dormitory Authority of the State of New York $273.425 Million Bond Issuance MBIA Winston & Strawn served as counsel to the bond insurer in connection with the issuance of $273.425 Million Dormitory Authority of the State of New York, St. John's University Insured Revenue Bonds, Series 2007A, Series 2007B and Series 2007C. The bonds were issued to finance certain capital projects on various St. John's University campuses. Soka University Property Tax Litigation Soka University Winston & Strawn tax attorneys represented Soka University in litigation against the county of Los Angeles, California, and the state board of equalization in which the University sought a refund of property taxes assessed to Soka’s campus. SIU Appropriations Matters Southern Illinois University Winston & Strawn represented Southern Illinois University (SIU), a public university which enrolls over 34,000 students in programs from the undergraduate level to Ph.D. programs in 32 fields. DASNY $928.06 Million State Personal Income Tax Revenue Bond Issuance Dormitory Authority of The State of New Winston & Strawn served as bond counsel to the Dormitory Authority of the State of New York in its issuance of $928.06 million State Personal Income Tax Revenue Bonds comprised of: $806.265 million (Education) Series 2006D, $72.585 million (Education) Series 2006E (Federally Taxable), $39.325 (State Facilities and Equipment), Series 2006B, and $9.885 million (Economic Development and Housing) Series 2006B. The bonds were issued to finance capital expenditures of various State University of New York facilities and special projects; an enhanced wireless 911 services for specified New York counties; and grants for certain biotechnology or high-tech projects, education, transportation, workforce, or community economic develop DASNY $72.6 Million Long Island University Insured Revenue Bond Issuance Piper Jaffray & Co. Winston & Strawn served as underwriter's counsel in connection with the Dormitory Authority of the State of New York's issuance of $72.6 million Long Island University Insured Revenue Bonds, Series 2006 A. NYCIDA $135 Million Civic Facility Revenue Bond Issuance New York City Industrial Development Age Winston & Strawn served as bond counsel to the New York City Industrial Development Agency in connection with its $135 million issuance ($67.5 million Series 2006A and $67.5 million Series 2006B) of Civic Facility Revenue Bonds to finance a portion of the costs of a civic facility improvement project for the New York Law School. Suffolk County IDA $38.91 Million Dowling College Civic Facility, Civic Facility Revenue Bond Issuance Lehman Brothers Winston & Strawn served as underwriter's counsel in connection with the Suffolk County Industrial Development Agency's issuance of $38.91 million Dowling College Civic Facility, Civic Facility Revenue Bonds, Series 2006A and 2006B. The bonds were issued to finance the construction of an athletic field complex on the college’s Shirley, NY, campus and for other capital improvements at the Shirley and Oakdale, NY, campuses. Illinois Finance Authority $30 Million Dominican University Bond Issuance Dominican University Winston & Strawn acted as borrower's counsel to Dominican University in connection with the issuance of $30 million Illinois Finance Authority Adjustable Rate Demand Revenue Bonds, Dominican University, Series 2006. Education Affiliates $51 Million Credit Facility LaSalle Bank National Association Winston & Strawn represented LaSalle Bank, N.A., as administrative agent, in a $51 million secured credit facility extended to Education Affiliates Inc. in connection with its acquisition of Tri State Computer Institute, Inc., an accredited post-secondary education provider. Sale of Real Estate Parcel New York College of Podiatric Medicine Winston & Strawn represented the New York College of Podiatric Medicine in the sale of a major parcel of real estate to a major real estate investment trust. Ambulatory Care Building at 70th and York Cornell University Winston & Strawn represented Cornell University in connection with a new ambulatory care building at 70th and York in New York City. Mt. Sinai School of Medicine of New York University Dormitory Authority of The State of New Winston & Strawn served as bond counsel to Mount Sinai School of Medicine of New York University in connection with the Dormitory Authority of the State of New York issuance of Insured Revenue Bonds, Series 2003, in the amount of $63.63 million. Roosevelt Island Residential and Ambulatory Facilities Cornell University and the Weill Cornell Medical College Winston attorneys represented Cornell University and the Weill Cornell Medical College in connection with the leasing and construction of a new high-rise residential building and an ambulatory care building, both located on Roosevelt Island in New York City.
