Ylang Ha is a partner in our Tax Group in Montréal. Ms. Ha's practice encompasses all aspects of corporate income tax with a focus on mergers and acquisitions (private and public), reorganizations and capital markets transactions. Her recent experience includes: · tax counsel to Rio Tinto in its acquisition of Alcan Inc. (US$38.1 billion); · tax counsel to Zarlink Semiconductor Inc. in connection with the public offering of subscription receipts for convertible debentures ($75 million); · tax counsel to BMO Capital Markets in connection with the public offering of subscription receipts for shares of Homburg Invest Inc. ($218.5 million); · tax counsel to Cambior Inc. in its acquisition by IAMGOLD ($1.2 billion); · tax counsel to ConjuChem Biotechnologies Inc. in connection with the public offerings of subscription receipts for units comprising convertible debentures and warrants ($22 million), units comprising common shares and warrants ($120.25 million), and common shares ($15.75 million); and · tax counsel to Molson Inc. in connection with the merger of Molson Inc. and Adolph Coors Company (US$7.7 billion) and with Molson Canada 2005's redemption of debentures ($550 million). Ms. Ha received her D.E.S.S, taxation option, at the Law Faculty of the Université de Montréal in affiliation with the École des hautes études commerciales de Montréal in 2001. She was called to the Québec bar in 2002 after having completed her LLB at the Université de Montréal in 1999. Ms. Ha is a member of the Canadian Tax Foundation and the Association de planification fiscale et financière. |
