Important Warning for Colorado Corporations - Solicitations Regarding Annual Meeting Minutes

The Colorado Secretary of State has recently issued a warning to Colorado corporations regarding "annual minutes" solicitations.  Colorado companies have been receiving solicitations entitled “Annual Minutes Disclosure Statement” or “Disclosure Statement” from several different entities including “Colorado Corporate Compliance” and “Board of Business Compliance.”  Such solicitations offer to process corporate meeting minutes on behalf of the corporation for a fee.  By law, Colorado corporations are not required to file corporate meeting minutes with any governmental entity and, therefore, there is no need for Colorado companies to respond to these solicitations.

The Colorado Secretary of State has additional information on its website regarding these solicitations, including samples of the mailings.  The Secretary of State is requesting that you contact its Business Division in the event that you receive one of these solicitations.  Further information is available on the Secretary of State's website at http://www.sos.state.co.us/pubs/business/update08_20_08.htm.
