Florida Corporations Be Warned of Letters from "Compliance Services." by:

Today my firm received a letter from a company called "Compliance Services." It presents itself as a very official looking document which makes reference to an alleged "Annual Minutes Requirement." Be advised that this company is not affiliated with the Florida Department of Corporations. In fact the Florida Department of Corporations has published a Consumer Alert regarding this issue which advises Florida corporations that the filing of "Annual Minutes" is not a requirement in Florida. Instead meeting minutes should be maintained by the corporate entity itself. The consumer alert can be found at www.sunbiz.org.
