Section 301 of the Sarbanes-Oxley Act of 2002 (the "Act") requires the SEC to adopt regulations directing the national securities exchanges and national securities associations ("SROs") to prohibit the listing of any security of an issuer that is not in compliance with certain audit committee independent standards. To implement Section 301, the SEC has proposed new Rule 10A-3 under the Securities Exchange Act of 1934.
