  • Collaborative conduct between buyers and sellers during the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act) continues to be a significant concern of the Department of Justice (DOJ) and the Federal Trade Commission (FTC). On January 21, 2010, DOJ announced that it had settled a “gun-jumping” action against Smithfield Foods and Premium Standard Farms arising out of their 2007 merger.
