  • The Federal Trade Commission (the "FTC") has recently announced several amendments to the premerger notifi cation requirements under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the "HSR Act"). The two most signifi cant changes are: (1) an increase of the monetary thresholds above which transactions are required to be reported to the FTC and the Department of Justice and (2) an amendment to require fi lers to report revenues using the 2002 version of the North American Industry Classifi cation System ("NAICS"), rather than the 1997 version.
