Biography

Dorothy Franzoni is a member of the Firm’s Executive Committee and Chair of the Eversheds Sutherland (US) Renewable and Alternative Energy team. Dorothy’s clients are independent power producers, investor-owned utilities, electric cooperatives and other strategic investors in the electric power industry. Her practice supports the commercial, project development and financial transactions fundamental to the development and operation of electric generation projects. She represents clients in the development, construction and operation of renewable energy projects, including wind, solar, geothermal, biomass and hydro, as well as energy storage projects. She has extensive experience in negotiating acquisitions and dispositions of electric generation facilities, construction and operations and maintenance contracting, joint ownership arrangements for large electric generation projects, and power purchase and hedging arrangements. Dorothy also represents clients in obtaining corporate and project financing, including through federal government loan programs such as the Department of Energy loan guarantee program and the Rural Utilities Service loan programs, as well as tax equity financings for renewable energy projects.

Represented Consolidated Edison Development in the sale of a project company developing a 180-MW AC solar photovoltaic electric generating facility in Texas and in the negotiation of related EPC and operational maintenance agreements.
Represented GridLiance in the acquisition of Valley Electric Transmission Association’s CAISO controlled high voltage transmission system, which includes approximately 160 miles of 230-kV transmission lines and related substation equipment.
Represented Enbridge Inc. in negotiating the acquisitions of shovel-ready wind power projects in Texas (249 MW) and West Virginia (103 MW), including Turbine Supply Agreements, BOP contracts, offtake agreements and tax equity financing arrangements.
Represented GridLiance in the acquisition of Valley Electric Transmission Association high voltage transmission system, which includes 160 miles of 230-kV transmission lines and related substation equipment.
Represented Wolverine Power Supply Cooperative in the negotiation of long-term power purchase agreements from wind power projects totaling over 360 MW.
Represented Great River Energy in the negotiation of long-term power purchase agreements from wind power projects totaling more than 350 MW.
Represented Consolidated Edison Development in the acquisition of a 102-MW operating wind power project in California.
Represented Edison Development in the acquisition and construction of six solar power projects in Texas and California totaling more than 515 MW (AC) in various stages of development.
Represented Kaua’i Island Utility Cooperative in negotiating a long-term power purchase agreement from a 20-MW (AC) solar plus storage facility being developed by AES Solar.
Represented Kaua’i Island Utility Cooperative in negotiating a long-term power purchase agreement from a 12-MW (AC) solar plus storage facility being developed by Solarcity.
Represented National Renewables Cooperative Organization in structuring and preparing form documents for use by electric distribution cooperatives in implementing community solar projects funded in part by tax equity investments.
Represented an electric cooperative and an investor-owned utility in negotiating the joint ownership agreements for the development, construction and operation of a 560-MW combined-cycle natural gas power project in Wisconsin.
Advised on the negotiation and documentation of agreements governing the development and ownership of two 1,100-MW additional nuclear units at a site where two existing units operate.
Advised on joint ownership and shared facilities arrangements for the development and ownership of a 100-MW coal-fired generating plant located on a site occupied by two coal-fired and two gas-fired generating plants.
Advised on project facilities agreements related to the operation of separately owned, gas-fired, combined cycle generating units located at an existing jointly owned coal-fired generating site.
Advised a minority participant on its withdrawal from the joint development of a coal-fired generating plant with six other participants.
Advised on joint ownership arrangements among a generation and transmission cooperative, an industrial malting facility and an ethanol plant for an 80-MW coal-fired, combined heat and power generating facility.
Represented Arkansas Electric Cooperative Corporation in its acquisition of an approximately 750-MW gas-fired, combined cycle generating facility.
Represented GridLiance in the acquisition of Valley Electric Transmission Association's 160-mile, 230-kV high voltage transmission system.
Advised Innergex Renewable Energy Inc. on all US legal aspects of its acquisition of Alterra Power Corp., a Canadian renewable energy company with assets in Canada, US, Iceland, Chile, and Italy.
Represented X-ELIO North America, Inc. in the acquisition of Lily Solar, LLC, which owned the development assets for an approximately 70-MWac / 103-MWdc solar generating facility in South Carolina from NARENCO, and advised on related agreements.
