Biography

Sidney Simms practices commercial finance and private capital law, counseling lenders and borrowers to reach their acquisition goals. A member of Eversheds Sutherland (US)'s Corporate Practice Group, Sidney represents commercial and investment banks in creating and administering senior and subordinate credit loans, term loans, revolving credit and syndicated term facilities. His clients are involved in various industries, including telecommunications, timberlands, energy, retail and restaurants. One of Sidney’s many deals includes representing the administrative agent in a $148 million syndicated term and revolving credit facility secured by a timberland company. He also is active in pro bono matters.

Before joining Eversheds Sutherland (US), Sidney served as an associate for an Atlanta law firm where he represented mortgage servicers in post-securitization commercial real estate financing matters, including loan assumptions, defeasances and various workout strategies for defaulted mortgage loans, such as foreclosures, loan restructuring and modifications, note sales and receiverships.

Represented administrative agent in $425 million syndicated credit facility.
Represented administrative agent in more than $200 million in credit facilities secured by timberlands.
Advised lender in refinancing term and revolving credit facilities for Minnesota telecommunications company
Represented a lender in connection with an $18 million term and revolving credit facility secured by water systems throughout northeast Georgia and advised on real estate matters related to the water systems.
Advised administrative agent in revolving credit facility secured by interests in hotel portfolios.
Counseled London-based facilities agent and security agent in connection with facilities agreement.
Advised lender in connection with revolving credit facility secured by assets of manufacturer of emission control products.
Acquisition Finance
Represented MSouth Equity Partners in its acquisition of TRP Construction Group, a leading provider of thermoplastic striping, painting and markers, rumble strips, and traffic control services.
Represented a private equity firm to complete acquisition of television stations.
Advised Argonne Capital Group and The Krystal Company in approximately $140 million senior secured credit facilities.
Advised MSouth Equity Partners in financing acquisition of Signal Outdoor Advertising, LLC.
Advised MSouth Equity Partners in financing its acquisition of C&G Technologies, Inc.
Advised MSouth Equity Partners in acquisition of a building products and services company.
Advised a private equity investment firm in financing the acquisition of a building supply and services company specializing in tile and stone.
Advised a private equity investment firm in financing the acquisition of two building supply and services companies specializing in engineered stone and solid surfaces.
Represented BC Technical, Inc., in expanding its national operations through the acquisitions of MedX, LLC, Polaris Medical Imaging, Virtual Medical Sales and Atlas Medical Technologies of Florida.
Represented TRP Construction Group in the acquisition of 100% of the issued and outstanding membership interests of Southern States Pavement Markings, LLC.
Commerical Real Estate
Advised joint venture in conversion of office building to 164-room hotel in Washington, DC.
Represented Hotel Development Partners, LLC in the sale of retail parcels in Sterling Pointe, a multi-use development in Atlanta.
