Tony is focused on general corporate and transactional matters. He provides advice in the areas of corporate finance, venture capital and private equity investments, inbound and outbound mergers and acquisitions, fund formation, foreign direct investments in China, and represents private equity/venture capital clients, general partners and limited partners, entrepreneurs and venture-backed companies.

Tony assists multinational companies operating in both the PRC and U.S. in a broad range of industries. He has extensive experience in advising overseas investors in setting up operations in China in the forms of joint venture or wholly owned subsidiaries and acquiring local Chinese companies, and in consulting China local clients in their business operations, expansions and investments in varies aspects in the United States. He also advise PRC clients, by coordinating with US specialists, in the area of trust setup, visa application and litigation and mediation supports.

Cross-Border Mergers and Acquisitions and Strategic Investments

•Represented a global investment firm and other major investors in the buyout of CITIC Pharma, a transaction valued at $580 million
•Representing a Shenzhen-based MPLD developer and manufacturer with regard to its strategic investment in a Taiwan company
•Represented a state-owned enterprise in its investment and development of one property in San Jose and acquired a local real estate agent
•Represented a property company in its purchase of a historic building in U.S. and conversion into a hotel and banquet venue
•Representing a state-owned enterprise, a venture-backed company and a biggest conglomerate in China in a joint venture project with an Euronext listed company

•Represented an LED chip manufacturer located in Jiangxi on its $55 million Series C financing, with IFC and Ajia Partners as the lead investors
•Represented a Shanghai-based online TV service provider on its $250 million Series D financing, with Softbank Corp. as an investor
•Represented a social networking website based in Beijing on its $50 million Series C financing, with Sequoia, Bertelsmann Asia Investments, and Trustbridge Partners as the investors, as well as subsequent secondary share transfers among certain shareholders
•Represented a Shenzhen-based MPLD developer and manufacturer on its $8 million Series B financing, with SAIF Partners as the lead investor
•Represented a microblog publication company located in Beijing in its restructuring and Series A/B financings, with Qiming Ventures and Keytone Ventures co-led the transactions
•Represented a Hangzhou-based online hospital reservation system on its $11 million Series C financing, which was co-led by Morningside and a Singapore-based fund
•Represented an elite social networking company based in Beijing on its $10 million Series A and Series B financing transactions, which were co-led by BlueRun Ventures and Morningside
•Represented a fashion retailer and designer based in Guangzhou on its $10 million Series A financing, which were led by a Shanghai-based VC fund

•Advised a China-focus Delaware company with regard to its deregistration from the OTCBB and subsequent restructuring transactions
•Advising a Cayman company in its restructuring arrangement and assisted its Tianjin parent company’s IPO in China
•Advising a Cayman company in its reorganization and its Shenzhen parent company’s IPO in China

Due Diligence Investigation

•Conducted the due diligence investigation for a China public company regarding the proposed acquired targets, which including a delisted U.S. company
•Assisted a delisted company from Nasdaq to conduct the due diligence investigation into its deregistration for the proposed IPO in China


•Representing a Chinese company against an individual and an enterprise in the Superior Court of San Mateo, California
