David is a member of Sirote's Corporate and Securities and Tax Practice Groups . David represents clients in a variety of business transactions, with emphasis on mergers, acquisitions and divestitures. David advises clients at all stages of transactions from planning and due diligence, to negotiation of definitive agreements and filings under the Hart-Scott-Rodino Act. David has counseled clients in a variety of industries in connection with acquisitions and sales of private and publicly held businesses, ranging in size from $500,000 to more than $600 million. In addition, David regularly advises individuals and businesses in connection with a variety of general legal matters, including entity formation and organization, contract negotiation, and tax planning. David also has experience advising executives and companies on directors and officers liability insurance programs.

Why did you become an attorney?

While working as an executive protection underwriter at Chubb, I had the opportunity to see the significant impact that the law has in our lives and the business world - whether it be the outcome of a large class action lawsuit or a court’s interpretation of the subtleties of a statute. As a instinctively curious person (I am originally from the “Show Me State”), I found myself reading court opinions issued in cases involving Chubb insureds. After several years, this interest and curiosity eventually prompted me to attend law school and to pursue a career in law.

What are you most proud of in your practice?

On many occasions, I’ve had the privilege of working with the founder of a company in connection with a sale of the company or business. Often, the sale of such a business is not only a critical event in the life of the founder’s but also in the lives of his or her family for generations to come. It is an honor to earn a client’s trust in connection with such an event, and to counsel them through the process.

What do you like to do in your spare time?

I enjoy spending time with my wife, Starr, and our two dogs, Ginger and Chouli - whether it be a long walk around the neighborhood or binge-watching TV shows on the couch. (And, weather and court availability permitting, playing tennis.) I also enjoy attending Game 7 of the World Series when the St. Louis Cardinals are playing.

Thought Leadership

•Experience managing complex M&A transactions, including coordinating due diligence review with internal and external subject matter specialists

•Experience working with client's accountants and financial advisors in connection with pre and post-closing transaction structure and tax planning, including analysis of elections under Internal Revenue Code Sections 338(h)(10) and 336(e)

•Advised an independent Special Committee of the Board of Directors of a publicly traded food manufacturer in connection with the evaluation of strategic options and, ultimately, a sale of the company

•Experience preparing and filing premerger notification reports with the Federal Trade Commission and Department of Justice under the Hart-Scott-Rodino Antitrust Improvements Act.

•From 2002-2006, worked as an executive protection (including directors and officers liability) underwriter with the Chubb Group of Insurance Companies

•From 2006-2012, served as a director and officer liability program consultant to several public and private companies and their respective executive teams and boards of directors
