Why did you become an attorney?
While working as an executive protection underwriter at Chubb, I had the opportunity to see the significant impact that the law has in our lives and the business world - whether it be the outcome of a large class action lawsuit or a court’s interpretation of the subtleties of a statute. As a instinctively curious person (I am originally from the “Show Me State”), I found myself reading court opinions issued in cases involving Chubb insureds. After several years, this interest and curiosity eventually prompted me to attend law school and to pursue a career in law.
What are you most proud of in your practice?
On many occasions, I’ve had the privilege of working with the founder of a company in connection with a sale of the company or business. Often, the sale of such a business is not only a critical event in the life of the founder’s but also in the lives of his or her family for generations to come. It is an honor to earn a client’s trust in connection with such an event, and to counsel them through the process.
What do you like to do in your spare time?
I enjoy spending time with my wife, Starr, and our two dogs, Ginger and Chouli - whether it be a long walk around the neighborhood or binge-watching TV shows on the couch. (And, weather and court availability permitting, playing tennis.) I also enjoy attending Game 7 of the World Series when the St. Louis Cardinals are playing.
•Experience managing complex M&A transactions, including coordinating due diligence review with internal and external subject matter specialists
•Experience working with client's accountants and financial advisors in connection with pre and post-closing transaction structure and tax planning, including analysis of elections under Internal Revenue Code Sections 338(h)(10) and 336(e)
•Advised an independent Special Committee of the Board of Directors of a publicly traded food manufacturer in connection with the evaluation of strategic options and, ultimately, a sale of the company
•Experience preparing and filing premerger notification reports with the Federal Trade Commission and Department of Justice under the Hart-Scott-Rodino Antitrust Improvements Act.
•From 2002-2006, worked as an executive protection (including directors and officers liability) underwriter with the Chubb Group of Insurance Companies
•From 2006-2012, served as a director and officer liability program consultant to several public and private companies and their respective executive teams and boards of directors
