  • In December 2005, the SEC proposed amendments to the proxy rules that would permit issuers to furnish proxy materials to shareholders under a "notice and access" model of Internet posting. The availability of proxy materials by web site posting would be an alternative to the current requirement of printing and mailing a paper copy of an issuer's proxy materials to each of its shareholders. Internet posting would not be available for proxy materials used in connection with business combinations.
