Executive Summary

Jonathan is a partner in our Securities and Capital Markets Group in our Calgary office. Jon practises in the areas of corporate finance, mergers & acquisitions and corporate governance. He has experience with public and private offerings of equity securities; M & A; assisting clients with corporate and securities regulatory requirements; preparing corporate, securities and commercial documents; and conducting due diligence in a variety of contexts. He has also been involved in spin-out transactions, dispositions of substantially all assets and various restructuring transactions.

Before joining BLG in 2010, Jonathan articled and was an associate with a prominent Atlantic Canadian law firm in Halifax, Nova Scotia. Prior to attending law school, Jonathan was an investment officer with the United Kingdom’s foreign direct investment agency, based out of the British Consulate-General in Toronto. Jonathan has also been involved in finance and international marketing roles within a high technology company. As well, he served as an international business consultant in Europe and as a Commercial Attache at the Canadian Embassy in Brussels, Belgium.

Representative Work: Represented a clinical-stage pharmaceutical company in connection with its $30 million reverse takeover and Tier 1 TSX Venture listing.; Represented a TSX life sciences company in connection with a $10 million overnight marketed equity offering by way of prospectus supplement and private placement.; Represented a TSX-V oil and gas issuer with respect to a $160 million reverse-takeover transaction and connected subscription receipt financing involving SE Asia oil and gas assets.; Represented a TSX-V issuer with respect to a subscription receipt financing for $114 million in connection with a plan of arrangement involving the acquisition of $405 million in oil & gas assets.; Represented TSX and TSX-V issuers in various public and private offerings of equity securities from under $5 million to over $100 million.; Represented a TSX issuer in the acquisition of various companies operating within the oil & gas services sector.; Represented a TSX issuer in the disposition of substantially all of its oil & gas assets for $125 million, its liquidation and dissolution and a return of capital to shareholders.; Represented a private oilfield services group in its disposition of $35 million in assets.; Represented a TSX-V issuer in the spin-out of its East European mining assets into a separately listed TSX-V issuer and a concurrent $10-million subscription receipt financing.; Mergers and acquisitions (public and private), plans of arrangement, amalgamations and restructuring transactions.; Represented private equity firms in strategic acquisitions within Western Canada (technology, engineering, oilfield services).; Represented public and private technology companies in their cross border acquisitions and dispositions.; M&A transactions involving domestic and international mining exploration and development opportunities (West Africa, South America and Eastern Europe) including reverse takeovers and qualifying transactions.; Transactions involving oil & gas exploration and development opportunities in Colombia.
