  • With the enactment of Law 12,441, on July 11, 2011, a new type of business entity formed by a single member was introduced in Brazil (empresa individual de responsabilidade limitada - EIRELI, in its Portuguese abbreviation). About five months later, on November 22, 2011, the Brazilian Department of Commercial Registration (Departamento Nacional de Registro do Comércio - DNRC, in its Portuguese acronym) issued Normative 117 laying out specific rules for EIRELIs.
