  • On August 25, 2010, the SEC adopted changes to the federal proxy rules to facilitate the rights of shareholders to nominate directors to a company‚Äôs board. Under the new rules, shareholders who have the ability to nominate directors at a shareholder meeting under applicable state or foreign law, are now able to have their nominees included in the company proxy materials sent to all shareholders.
