Client Stories

Our Client’s Objective: We were retained by one of our bank clients to assist with a complex commercial lending transaction. Due to a Court ordered arrangement of the Borrower, the transaction had to fund by a specific date.

Our Approach: We worked around the clock to ensure that all of the steps required for funding were completed by the targeted date. First we negotiated and prepared a complex suite of security documents including a multiparty Subordination Agreement. Next we attended to the registration of a General Security Agreement against all of the Borrower’s personal property which required specific registrations against over seventy serial numbered goods. As part of the registration process, we worked with agent counsel in other Canadian jurisdictions to ensure our client’s interests were protected both inside and outside of Alberta. Finally, order to allow for early funding, we imposed a number of trust conditions on the solicitor for the Borrower to ensure that all prior security interests were discharged, all necessary arrangement steps had been taken and all required items related to leases, in which the Borrower was the lessee, were complete (e.g. lease caveat registrations and Non-Disturbance Agreements).

Outcome: Based on the measures we had taken and the security documents we had in place, our client was able to advance the loan to the Borrower by targeted date.
