Biography

John B. Newman brings over three decades of experience to service his clients in connection with legal transactions and litigation. He has a reputation for and prides himself on bringing practical business common sense to each client situation.

John has extensive experience representing lenders and borrowers in connection with all aspects and phases of commercial loan transactions, whether secured by real estate, accounts receivable, vehicles, or other collateral. His experience includes mezzanine financing and factoring. John is also recognized as an expert in the representation of financial institutions and other lenders in foreclosures, collections and workouts. He routinely counsels such clients from the time of default, negotiates workout agreements, prosecutes foreclosure actions, proceeds with secured party sales of personal property, represents creditors’ interests in bankruptcy court, and handles the ultimate disposition of collateral.

John represents real estate investors in acquiring, selling, leasing and refinancing of commercial properties, including shopping centers, office buildings, warehouses, and apartment buildings. He handles all aspects of those transactions, including the negotiation of the contract of sale, due diligence, and the negotiation of financing terms.

John regularly counsels his business owner clients with respect to the planning, formation, growth, merger and sale of their businesses, including the choice of entity, and the preparation and negotiation of operative documents, whether limited partnership agreements, operating agreements, or stockholder agreements. He also provides counsel with respect to their general business concerns such as contracts with vendors, distributors, employees, and others. John often represents business owners in connection with intra-company disagreements, both in and out of court. John handled one of the longest and most complex estate and partnership disputes in New Jersey history over a span of 17 years, Wilzig v. Sisselman, which resulted in four reported decisions.
