CORPORATE AND TRANSACTIONAL MATTERS

Forming and restructuring legal entities and corporate systems; mergers, acquisitions, affiliations and joint ventures; contractual matters (such as physician employment agreements and practice acquisitions; reimbursement, insurance and third party payor agreements; loan and financing transactions; vendor contracts; technology transfers and licenses; executive compensation arrangements; service contracts; and  management agreements); board structuring and corporate governance issues; and access to capital.

LITIGATION  

Effective and efficient management and resolution of disputes involving virtually all aspects of the business and operations of our healthcare clients; this is accomplished through the coupling of our extensive litigation skills with our comprehensive understanding of complex business and regulatory environment in which these clients operate.

LABOR AND EMPLOYMENT  

All services necessary to address the labor and employment issues confronted by our healthcare clients including: union campaigns and collective bargaining agreements; unfair labor practice charges and grievance/arbitration proceedings; discrimination cases; wage and hour claims; wrongful discharge cases; executive compensation; severance claims; non-compete covenants; Worker Adjustment and Retraining Notification Act compliance; the development of employment manuals; the provision of training programs.

CONSTRUCTION AND REAL ESTATE  

Comprehensive services covering all aspects of our client’s construction projects and real estate transactions.

The Group represents a broad range of healthcare clients including hospitals and healthcare systems; nursing homes, personal care homes, assisted living facilities, and CCRCs; home health and home care providers; physicians, physician groups and other healthcare practitioners; ancillary service providers; healthcare insurers; vendors of healthcare services and products; and various healthcare consultants.
