Procopio’s Emerging Growth and Technology practice group assists start-ups and emerging growth companies in various fields, including information technology, telecommunications, life sciences and cleantech, with all aspects of their formation, development and funding, from the initial idea through liquidity. Our team-oriented approach offers clients access to attorneys who are familiar with and understand their products, technology and business models. Procopio’s attorneys combine and provide legal expertise and counseling in the areas of corporate and securities, angel and venture capital financings, mergers and acquisitions, intellectual property, and compensation and benefits, with a view to, and a genuine understanding of, the unique business needs of start-ups and emerging growth companies.

Procopio’s corporate attorneys in the Emerging Growth and Technology practice group are focused on providing business and legal guidance to clients through all stages of growth, from initial incorporation through seed and angel investments, venture capital debt and equity financings and strategic investments, to mergers and acquisitions. Procopio’s attorneys are experienced in assisting start-up and emerging growth companies develop a funding strategy that is appropriate for each client’s needs and circumstances, and have significant experience in structuring and negotiating venture capital, debt and equity financings, representing both companies and venture capital firms. Our attorneys have the ability to leverage relationships with premier angel investors, venture capital firms and other sources of debt and equity funding, and play an active role in bringing together entrepreneurs and investors.

Intellectual property attorneys within the Emerging Growth and Technology practice group handle all phases of intellectual property protection, from selection, development, registration and licensing, to protection and litigation. Our Intellectual Property practice group includes experienced patent, trademark, copyright, trade secret and licensing attorneys and patent agents with technical experience in a wide array of industries. Group members have technical degrees and substantive experience in the areas they protect.

The Emerging Growth and Technology practice group also includes employment attorneys who assist start-up and emerging growth companies with a wide range of employment matters, such as employment policies and agreements, human resource counseling, and advice in specialized areas such as ERISA, COBRA and HIPAA. We regularly advise clients on benefits issues such as the design and implementation of qualified retirement programs and employee benefit plans such as medical, vacation, severance, health reimbursement arrangements, health savings accounts, self-funded corporate plans and related programs.

When needed, the Emerging Growth & Technology practice group draws on the firm's significant resources in a number of important related practice areas, including tax, corporate finance, litigation, international law, and bankruptcy and creditor rights.

The firm is also positioned to serve clients with international business arrangements through our membership in LawExchange International and Legal Netlink Alliance.
