Rhoads & Sinon maintains an independent trustee/independent fiduciary practice as a component of its Employee Benefits & Executive Compensation practice group.

This practice focuses on middle market companies, needing professional, independent fiduciary services for benefit plans and transactions.

The firm’s independent fiduciary practice is headed by Drake D. Nicholas who has practiced in the ERISA/fiduciary area for over 25 years. Mr. Nicholas primarily accepts engagements on either a single transaction or on a continuing/recurring basis.

Because of his extensive legal background in representing employers, management and other ERISA fiduciaries, Mr. Nicholas is able to provide comprehensive services as an independent fiduciary for a particular transaction requiring compliance with ERISA and other governmental regulations.

Our independent trustee/fiduciary practice is committed to providing the level of interest and attention that a particular transaction requires in order to serve the interests of the plan and its participants including performance of proper due diligence, negotiating on behalf of the plan and taking the right steps to assure that the transaction is fair to the plan and its participants.

Mr. Nicholas has served as an independent trustee in leveraged and non-leveraged ESOP transactions. The most recent transactions on which he has served as independent trustee were acquisitions valued at $12 million and $35 million, respectively.

Mr. Nicholas also serves in an independent fiduciary capacity in transactions requiring the services of an independent fiduciary pursuant to Department of Labor guidelines and requirements.
