•Established experience conducting forensic investigations in the public sector and reporting governance breaches where applicable. This entailed identifying breaches of the MFMA, PFMA and Treasury regulations and drafting and / or presenting forensic investigation reports;
•Drafting and reviewing various legal agreements including the negotiation and implementation (shareholders agreements, sale of shares agreements, sale of business, company memorandum of incorporation; comprehensive lease and construction agreements, commercial lease agreements, etc );
•Review of various project funding agreements, intercreditor agreements, suretyship agreements, production agreements, employment agreements, contractor agreements, media agreements, acquisition agreements, service level agreements, distribution agreements, confidentiality and non-disclosure agreements, and other general commercial agreements;
•Advising clients on the Black Economic Empowerment (B-BBEE) laws and regulations and compliance therewith;
•Assisted a certain telecommunications company with regard to a project for the purchase and lease of equipment wherein they had entered into a partnership with another telecommunications company (“the Project”). Attended to the review of the following documents:
-the procurement documents between the Prime Contractor and the Government Department; various correspondence between the parties in relation to the Project
-the rental agreement between the Prime Contractor and the Government Department;
-the master agreement between the Prime Contractor and the Government department; and
-The Subcontractor agreement between Prime Contractor and the Subcontractor.
•Conducted a due diligence investigation and compiled a report for client with regards to employment equity in the workplace;
