Case Experience and History
Cummins Power Generation Nigeria Limited
The Firm successfully defended the client in a notable case instituted against it by a co-shareholder in 2 (two) companies jointly owned by the client and the co-shareholder. The co-shareholder had alleged that there was a valid contract for the purchase of the client's shares in the two companies worth about $5,750,000.00.
Tower Power Utility Limited
The Firm is currently representing the client in a suit against a top commercial bank for its unlawful attempt to call in the loan facility of more than $2,500,000,000 granted to the client on the basis that a material adverse affect has arisen. We are asking the court to interpret if, from the surrounding circumstances of the case, a material adverse effect has arisen.
Tower Power Utility Limited
The Firm is currently undertaking the defence and prosecution of several suits on behalf of the client. The suits range from dispute as to directorship in the Company, control and management of the Company and other sundry issues.
Zenith Bank Plc
The Firm is Counsel to the Bank in an appeal arising from a garnishee proceedings where the court wrongfully ordered the bank to pay sums in excess of N30,000,000.00 to a Judgment Creditor in satisfaction of a judgment debt when there was clear evidence that the judgment debtors did not have that amount in their accounts with the Bank.
The firm advised two Independent Power Project bidders with respect to the compilation and submission of their proposed bid for the acquisition of a Federal Government/NIPP owned power plants located in the south west region of Nigeria. In advising the clients, we reviewed and advised the client on the draft power project agreements to be entered into by the clients if and when their bids were successful. Such draft agreements included but were not limited to Sale and Purchase Agreement, Gas Sale and Aggregation Agreement, Gas Transportation Agreement, Grid Connection Agreement, Power Purchase Agreement, and Ancillary Services Agreement.
Cummins Power Generation (Nigeria) Limited
The firm recently advised the client, an indigenous Independent Power Producer (IPP) on its acquisition of majority shareholding in another licensed indigenous IPP in Nigeria. Our scope of services included conducting comprehensive due diligence on the target company, providing a legal opinion on the target company's existing contracts, assets, liabilities and obligations as well as drafting, reviewing and negotiating the share sale and purchase agreement for the transaction.
OIL & GAS TRANSACTIONS
Range Oil & Gas Development Limited
The firm advised the consortia of ROGOAN with respect to their joint bid for the acquisition of 55% equity interest in Shell Development Company's 45% interest in OMLs 25 and 29 located in the Niger Delta region of Nigeria.
Pan Ocean Oil Corporation Limited
We are currently providing legal advisory services to Pan Ocean Oil Corporation, an indigenous oil exploration and production company, on its contractual agreements with its service providers. The scope of services being provided to the client includes the review and redrafting of all existing service contract templates between the client and its service providers.
ENERGY AND NATURAL RESOURCES FINANCE TRANSACTIONS The firm has advised a leading commercial bank on its 12,000,000 loan facility for the continued production and initial expansion of a high grade lead/zinc/silver mine located in Plateau State. The scope of services to be provided by the firm to the Lender includes, but is not limited to conducting a comprehensive legal and corporate due diligence on the borrower, material related entities and the mine, drafting, negotiating and reviewing all finance and security documents and other agreements relating to the mine and its operations, provide conditions precedent and subsequent to drawdown, registration of security documents and provision of legal advice to FCMB on any and all legal issues arising from date of commencement of the transaction until financial close.
