  • The Appellate Division, 1st Department, has expanded the "common-interest" privilege in the corporate context (adopting the Delaware approach) so that the threat of litigation is no longer required in order to shield a communication between corporation and counsel when there is a third party present in and for the communications, so long as the communication is to obtain legal advice or further a shared legal interest.
